Review of Board governance

The Client:
A small national body with responsibility for supporting quality and consistency across a key public policy domain.

We were commissioned by the client to undertake an independent review of Board performance in order to meet periodic review obligations and identify opportunities for continuous improvement.


The Approach:‍ ‍‍

As part of this project, we:

  • Worked closely with the Project Sponsor throughout the engagement to ensure the review remained aligned to expectations;

  • Designed an anonymous survey to support data collection and analysed responses across key governance themes, including directors’ duties, strategic risk, decision making, information quality, and Board composition and skills;

  • Reviewed and tested the findings with the Project Sponsor to confirm key themes, issues, and opportunities to be addressed in the final report; and

  • Undertook research into contemporary Board practice and a comparative analysis to identify opportunities to further strengthen governance arrangements.

The Outcome:

Our analysis found that the Board was performing effectively, with no significant remedial actions required. This provided assurance regarding current Board performance and governance arrangements.

Our comparative analysis also identified several opportunities for continuous improvement. These were set out in the final report to support the Board’s ongoing development and maturity across the key dimensions of governance performance and conformance.
